M-Vocha Merchant Partnership
Agreement
This Merchant Partnership Agreement (“Agreement”) is entered into electronically upon
acceptance by the Merchant and governs participation on the M-Vocha platform.
1. Definitions
- “M-Vocha” refers to M-Vocha Limited, its platform, website, mobile
applications, and affiliates.
- “Merchant” refers to the business entity registering on the M-Vocha
platform.
- “Voucher” refers to a digital or physical promotional offer listed
on M-Vocha.
- “Redemption” means the successful use of a voucher by a customer.
2. Scope of Partnership
M-Vocha provides a digital platform that enables Merchants to market, sell, and redeem
vouchers. M-Vocha acts solely as a marketing and facilitation platform and does not
provide the underlying goods or services.
3. Voucher Value & Discount Threshold
3.1 The Merchant agrees that all discounts listed on the M-Vocha platform shall have a
minimum discount value of KES 2,000 unless expressly approved in writing by M-Vocha.
3.2 The Merchant is solely responsible for:
- Pricing and discount determination
- Compliance with applicable laws
- Honouring all valid vouchers within the stated validity period
3.3 M-Vocha bears no responsibility for losses incurred due to discounts offered by the
Merchant.
4. Merchant Obligations
The Merchant agrees to:
- Honour all valid vouchers without discrimination
- Deliver services and goods as advertised
- Ensure staff are trained on voucher redemption
- Maintain all required licenses and regulatory approvals
Failure to comply may result in suspension or termination.
5. Commission Structure
5.1 The Merchant agrees to pay M-Vocha a commission for each successfully redeemed
voucher.
5.2 Commission rates are industry-based and fall within the following ranges:

5.3 The exact applicable commission rate shall be: Communicated during onboarding, or
Displayed on the Merchant dashboard, or Agreed in writing for specific campaigns.
5.4 M-Vocha reserves the right to: Adjust commission rates with reasonable notice; Offer
promotional or volume-based commission incentives.
6. Reconciliation & Settlement
6.1 Merchant accounts shall be reconciled monthly, covering all redemptions within the
reconciliation period.
6.2 Reconciliation statements shall be issued monthly to the Merchant for review.
6.3 Any disputes must be raised within seven (7) days of receipt. Failure to do so
constitutes acceptance.
6.4 Payments due shall be settled within fourteen (14) days following reconciliation,
unless otherwise agreed.
7. Refunds & Customer Disputes
7.1 The Merchant bears full responsibility for: Service delivery; Customer complaints;
Refunds resulting from service failure.
7.2 M-Vocha shall not be liable for refunds except where a failure is solely attributable
to the M-Vocha platform.
8. Liability & Indemnity
8.1 The Merchant agrees to indemnify and hold harmless M-Vocha from any claims, damages,
penalties, or legal costs arising from: Failure to honour vouchers; Misrepresentation of
offers; Regulatory or licensing breaches; Customer claims related to service delivery.
8.2 M-Vocha’s total liability shall be limited to the commission earned on the affected
voucher.
9. Intellectual Property & Marketing Rights
9.1 The Merchant grants M-Vocha a non-exclusive, royalty-free right to use its name,
logo, and promotional materials for marketing purposes.
9.2 All M-Vocha intellectual property remains the exclusive property of M-Vocha.
10. Suspension & Termination
M-Vocha may suspend or terminate the Merchant’s account immediately in cases of:
Agreement breach; Fraud or misuse; Reputational risk to M-Vocha. Outstanding obligations
survive termination.
11. Confidentiality
Both parties agree to maintain confidentiality of all non-public business, financial, and
customer information.
12. Governing Law
This Agreement shall be governed by the laws of the Republic of Kenya.
13. Acceptance
By registering on the M-Vocha platform, clicking “I Agree,” or listing a voucher, the
Merchant confirms acceptance of this Agreement.
